Beken Digital Terms of Use
Effective Date: October 9, 2026
These Terms of Use (“Terms”) govern your access to and use of the Beken Digital website at bekendigital.com (the “Website”). The Website is operated by Beken Digital, LLC (“Beken,” “Beken Digital,” “we,” “us,” or “our”).
By accessing or using the Website, you agree to these Terms to the extent enforceable under applicable law. If you do not agree with these Terms, please do not use the Website.
1. About Beken Digital
Beken Digital provides managed digital advertising, audience-targeting, media placement, campaign management, analytics, and related services for businesses, organizations, advocacy groups, campaigns, and other clients.
Information presented on the Website describes Beken Digital and its services generally. Website descriptions, examples, estimates, case studies, or other informational materials do not constitute an offer or guarantee of particular services, pricing, availability, audience reach, or campaign results.
2. Website Inquiries Are Not Client Engagements
You may use the Website to learn about Beken Digital, contact us, request information, or inquire about a potential campaign or engagement.
Submitting an inquiry, requesting a proposal, scheduling a consultation, discussing a potential campaign, or providing information through the Website does not create an attorney-client relationship, agency relationship, contractual engagement, or obligation for Beken Digital to provide services.
Paid advertising and other professional services will be governed by a separate written agreement, campaign order, statement of work, or other agreement accepted by Beken Digital and the client (a “Campaign Agreement”).
The Campaign Agreement will establish the applicable scope of services, pricing, media budget, campaign requirements, approvals, responsibilities, cancellation rights, and other commercial terms.
If these Terms conflict with an applicable Campaign Agreement regarding paid services, the Campaign Agreement controls.
3. Permitted Use of the Website
You may use the Website for lawful purposes, including learning about Beken Digital and communicating with us regarding potential services.
You may not use the Website to:
-
Engage in unlawful, fraudulent, deceptive, or abusive activity;
-
Submit false, misleading, threatening, infringing, or unlawful content;
-
Impersonate another person or organization;
-
Attempt to gain unauthorized access to the Website, systems, accounts, or information;
-
Introduce viruses, malicious code, or other harmful technology;
-
Interfere with or disrupt the Website or its security features;
-
Collect personal information about others without lawful authority;
-
Scrape, copy, extract, reproduce, or republish Website content at scale without authorization; or
-
Use Beken Digital's Website content, proprietary materials, or data to develop or train a commercial artificial intelligence or machine-learning system without our written permission.
Nothing in these Terms prohibits ordinary search-engine indexing or activity otherwise protected by applicable law.
4. Intellectual Property
Unless otherwise indicated, Beken Digital or its licensors own the Website and its content, including Beken Digital's name, branding, logos, graphics, designs, text, software, and other proprietary materials.
Your use of the Website does not transfer ownership of any Beken Digital intellectual property or grant you a license to use Beken Digital's trademarks, proprietary technology, audience databases, software, source code, methodologies, or other protected materials except as expressly authorized in writing.
Ownership and permitted use of client advertising materials, campaign deliverables, reports, data, technology, or other materials associated with a paid engagement will be governed by the applicable Campaign Agreement.
5. Information and Materials You Submit
You retain ownership of materials you submit to Beken Digital.
By submitting materials through the Website or directly to Beken in connection with an inquiry, you authorize us to receive, store, reproduce, review, and use those materials as reasonably necessary to respond to your request, evaluate a potential engagement, provide services you subsequently authorize, and maintain appropriate business records.
You represent that you have the right and authority to provide the information and materials you submit and to authorize their use for the purpose for which they are provided.
Please do not submit confidential audience lists, sensitive personal information, passwords, Social Security numbers, medical information, financial account credentials, or other highly sensitive information through a general Website form or ordinary email. Beken may provide an appropriate method for transmitting sensitive or confidential materials when necessary.
Submitting your organization's name, logo, advertising creative, campaign information, or results does not give Beken permission to publish those materials as a testimonial, case study, portfolio item, or endorsement without separate authorization.
Personal information is handled in accordance with our Privacy Policy and applicable law.
6. Advertising Services and Results
Digital advertising performance depends on numerous factors outside Beken Digital's control, including audience behavior, market conditions, media availability, publisher and platform requirements, competition, creative performance, technology, and third-party systems.
Unless expressly stated in an applicable Campaign Agreement, Beken Digital does not guarantee any particular number of conversions, sales, votes, donations, leads, impressions, engagements, or other business, advocacy, or political outcome.
Any specific commitment concerning campaign scope, impressions, audience, media placement, timing, budget, reporting, deliverables, or performance will be governed by the applicable Campaign Agreement.
Beken Digital may decline a proposed engagement or require modifications to a proposed campaign before accepting it based on legal, regulatory, platform, technical, inventory, reputational, or other legitimate business considerations.
Clients remain responsible for the accuracy and legality of claims and materials they provide and for having appropriate rights to creative materials and data supplied to Beken. Beken remains responsible for obligations imposed directly upon it by applicable law.
7. Privacy and Third-Party Services
Our Privacy Policy explains how Beken Digital collects, uses, discloses, retains, and protects personal information.
The Website may contain links to websites, platforms, or services operated by third parties. Those third parties establish their own terms and privacy practices.
A link to a third-party website or service does not necessarily constitute Beken Digital's endorsement of that third party or its products, services, policies, or practices.
8. Website Availability
We may modify Website content or features and may temporarily interrupt access for maintenance, security, technical, or operational reasons.
We do not guarantee that the Website will always be available, uninterrupted, error-free, or free from harmful components.
We may restrict access to the Website when reasonably necessary to address unlawful activity, a security threat, misuse of the Website, or a material violation of these Terms.
Any service-level or availability commitment associated with paid services must be expressly stated in the applicable Campaign Agreement.
9. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the public Website and its informational content are provided “as is” and “as available.”
Beken Digital disclaims implied warranties concerning the Website, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement, to the extent those warranties may lawfully be disclaimed.
Information provided through the Website is general business information and does not constitute legal, tax, accounting, financial, or regulatory advice.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Beken Digital will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of, or inability to use, the public Website.
To the fullest extent permitted by applicable law, Beken Digital's aggregate liability for claims arising solely from use of the public Website will not exceed $500.
These limitations do not apply to fraud, willful misconduct, gross negligence, or liability that applicable law does not permit to be excluded or limited.
These limitations also do not replace or limit obligations or remedies established by an applicable Campaign Agreement. Liability associated with paid advertising or other contracted services will be governed by the applicable Campaign Agreement.
11. Governing Law and Venue
These Terms and their contractual interpretation are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles that would require application of another jurisdiction's laws, except where applicable law requires otherwise.
Subject to any rights or requirements that cannot lawfully be waived, any dispute arising under these Terms shall be brought in the appropriate state court located in Guilford County, North Carolina, or the United States District Court for the Middle District of North Carolina.
The parties consent to personal jurisdiction in those courts for disputes subject to this provision.
These Terms do not require arbitration and do not waive the right to a jury trial.
Nothing in these Terms limits the authority of a government regulator or waives any privacy, consumer-protection, data-security, advertising, or other right or remedy that cannot lawfully be waived.
12. Changes to These Terms
We may update these Terms periodically to reflect changes to the Website, our business, or applicable requirements.
When we make changes, we will update the Effective Date above. Material changes will be presented through additional notice or acceptance where required by applicable law.
Changes to these Website Terms do not modify an existing Campaign Agreement unless the parties modify that agreement as required by its terms.
If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Our failure to enforce a provision of these Terms does not waive our right to enforce it later.
These Terms do not create an agency, partnership, employment, joint venture, fiduciary, or other similar relationship between Beken Digital and a Website visitor.
